Official Rules: Zola x Rent the Runway Sweepstakes

NO PURCHASE NECESSARY TO ENTER OR WIN.

ELIGIBILITY: OPEN ONLY TO LEGAL RESIDENTS OF THE FORTY-EIGHT (48) CONTIGUOUS UNITED STATES AND THE DISTRICT OF COLUMBIA, 18 YEARS OF AGE OR OLDER. VOID WHERE PROHIBITED. Employees (and their immediate families (spouse, and parents, children and siblings and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of Zola, Inc. (“Zola”), Rent the Runway, Inc. (“RTR”, and together with Zola, the “Co-Sponsors”), and their respective parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. By participating, entrants agree to be bound by these Official Rules and the decisions of the Co-Sponsors, which are binding and final on matters relating to this sweepstakes (the “Promotion”). This Promotion is subject to all applicable federal, state and local laws. This Promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram.

HOW TO ENTER: In connection with the Promotion, each Co-Sponsor will publish an in-feed post promoting the Promotion on its Instagram account on or about May 5, 2022 (each, an “IG Promotion Post”). An eligible entrant may enter the Promotion between 12:01 PM Eastern Time (“ET”) on May 5, 2022, and 11:59 PM ET on May 8, 2022 (“Entry Period”) by taking the following actions: (1) follow both @zola and @renttherunway on Instagram, and (2) tag a friend in the comments of either IG Promotion Post. You must use an Instagram account that remains active and in good standing through the time the prize is awarded. AMOE: To enter the Promotion without using Instagram, submit your entry by using this form. Entries made via the form must be received during the Entry Period to be considered. Limit one (1) entry per person. For the avoidance of doubt, tagging multiple friends or posting comments on more than one IG Promotion Post will not result in additional entries. Excess entries received from any person (whether via Instagram or the AMOE form) will be void. Entries generated by script, bot, macro or other automated means are void. All entries become the property of Co-Sponsors.

DRAWING: Potential winners will be selected in a random drawing held on or about May 16, 2022 from all eligible entries received. Odds of winning depend on the number of eligible entries received. Potential winners will be notified by Instagram direct message or email and may be required to execute and return an Affidavit of Eligibility, Liability and, unless prohibited, Publicity Release. If a potential winner does not respond within the time period stated in the initial notification, does not return all required documentation within the time period requested by Co-Sponsors, is not in compliance with these rules or if a prize notification or prize is returned as undeliverable, the prize will be forfeited and, at the Co-Sponsors’ sole discretion, an alternate winner selected. Up to three (3) alternate winners will be selected for the prize, after which the prize will remain unawarded.

PRIZE: One (1) winner will receive the following:

1. One (1) $500.00 Zola Credit (Approximate Retail Value (“ARV”): $500.00)
2. Eleven (11) Rent the Runway Credits for the winner and up to ten (10) friends (ARV $200.00 per Rent the Runway Credit)

Total ARV of all prizes: $2,700.00.Winner agrees to provide RTR with all necessary information and documentation needed by RTR to produce and file all required tax documents in connection with the prize. The prize is awarded “as is” with no warranty or guarantee, either express or implied. All federal, state and local taxes, if any, and all other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. Winners may not substitute, assign or transfer the prize or any portion thereof, but the Co-Sponsors reserve the right, at their sole discretion, to substitute a prize of comparable or greater value. The prize is not redeemable for cash. All prize details are at the Co-Sponsors’ sole discretion. Limit one (1) prize per household. The Zola Credit will expire 90 days following the date on which it is issued to the winner and will not be re-issued if not used by such date. The Zola Credit cannot be redeemed or used for cash, digital Zola gift cards, honeymoon funds or other cash gifts or be applied towards items purchased from another website, or honeymoon funds or other cash gifts, nor can the Zola Credit be retroactively applied to past orders. You must have a Zola account to receive and use the Zola Credit. The Zola Credit may be subject to additional terms and conditions as determined by Zola in its sole discretion. If the winner or, in the case of the Rent the Runway Credits, a friend of the winner, does not have the ability to access and use the necessary technology to use and enjoy the prize (or any portion thereof), Co-Sponsors shall not have any liability to such persons under any legal theory. The winner (and each of their friends, in the case of the Rent the Runway Credits) will be solely responsible for any and all costs associated with accessing and use of technology necessary to use or enjoy the awarded prize including any applicable fees or taxes; the preceding includes but is not limited to the costs of software, hardware and Internet connection.

PUBLICITY GRANT: The winner, by acceptance of the prize, except where legally prohibited, grants permission for the Co-Sponsors and their respective designees to use his/her name, address (city and state), photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes, in any manner, in all media now known or hereafter devised, worldwide in perpetuity, without additional compensation or notification to, or permission from, winner.

GENERAL CONDITIONS: Entrants, by participating, agree that the Co-Sponsors, Instagram, their respective parents, affiliates, subsidiaries and, in the case of the Co-Sponsors, their respective advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages (including punitive, incidental and consequential damages) of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the prize (or any portion thereof) or participation in this Promotion. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered or garbled entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, telephonic, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the functionality of the voice recording, the processing of entries, the announcement of the prize or in any Promotion-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Promotion. Persons who tamper with or abuse any aspect of the Promotion, or who are in violation of these Official Rules, as determined by the Co-Sponsors in their sole discretion, will be disqualified and all associated entries will be void. Should any portion of the Promotion be, in the Co-Sponsor’s sole discretion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Co-Sponsors, corrupt or impair the administration, security, fairness or proper play, or submission of entries, the Co-Sponsors reserve the right at their sole discretion to suspend, modify or terminate the Promotion and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by the Co-Sponsors. In the event of a dispute as to the identity of an entrant, the authorized account holder of the Instagram handle or email address used to enter will be deemed to be the entrant. A potential winner may be required to show proof of being the authorized account holder. Entries specifying an invalid, non-working, or inactive Instagram handle or email address will be disqualified and ineligible to win.

CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in New York, NY.

PERSONAL INFORMATION: Co-Sponsors will be collecting personal data about entrants in accordance with their respective privacy policies. WINNERS LIST: To receive the names of the winners, please send a self-addressed stamped envelope to either “RTR x Zola Sweepstakes” - Winner List, c/o Zola, Inc., 7WTC, 250 Greenwich St., 39th Floor, New York, NY, Attn: Legal Department. Queries must be postmarked no later than 60 days after the end of the Entry Period.
